1. DEFINITIONS

In these Conditions: –
(a) “Photek” means Photek Ltd
(b) “the Buyer” means the purchaser of any goods from Photek

2. APPLICATION OF CONDITIONS

2.1. No quotation by Photek will be construed as a binding offer.
2.2. Quotations will be held valid for 30 days unless otherwise stated.
2.3. No order shall become binding until accepted in writing by a duly authorised representative of Photek.
2.4. All orders are accepted only upon these Conditions.
2.5. These Conditions override any terms of Conditions incorporated or referred to by the Buyer in its order, negotiations, correspondence or other documentation of whatsoever kind unless agreed to the contrary in writing by Photek.
2.6. No new Condition or alteration, addition, or qualification to these Conditions or any special Conditions attached hereto shall be incorporated in the Contract between Photek and they Buyer unless expressly accepted by an authorised representative of Photek in writing.

3. LICENCES

All orders are accepted subject to any necessary Licences and Exchange Control regulations being obtained.

4. TERMS OF PAYMENT

4.1. Payment terms will be agreed before shipment of goods or otherwise in accordance with any credit terms agreed between Photek and the Buyer.
4.2. Unless otherwise stated all prices or charges quoted are net ex-works and exclusive of VAT.
4.3. No cancellation of orders for whatsoever reason will be accepted unless agreed and accepted in writing by a duly authorised representative of Photek.
4.4. Photek shall be entitled to interest compounded at the rate of 5% per month, unless agreed otherwise, above the HSBC Bank Plc minimum base lending rate from time to time, applying on any sums overdue and unpaid by the purchaser from the date when payment due to the date of receipt of monies due, including any legal costs incurred in the collection thereof.

5. SPECIFICATION AND PERFORMANCE

5.1. Descriptive literature, illustrations, drawings, production and performance data and estimates shall not form part of any contract unless expressly set out in writing as a term of any quotation and specifically referred to as a variation of this Clause of these Conditions and repeated in writing in Photek’s acceptance of an order.
5.2. All drawings and technical descriptions prepared by Photek shall remain Photeks’s property returnable on demand and the copyright in them remains vested in Photek and shall not by infringed by copying, reproduction or disclosure without prior written consent.

6. DELIVERY

6.1 Time for delivery is given as accurately as possible and operates from date of receipt of full and final instructions to proceed but the delivery date is not guaranteed and in this respect time shall not be deemed to be of the essence.
6.2 Failure by Photek to make delivery on the due date shall not give the Buyer the right to cancel the Contract.

7. PACKING

Packing cases if required are charged extra and are not returnable.

8. INSURANCE OF PROCESSING MATERIAL

A buyer sending its own materials to Photek for processing shall at its own expense insure such materials against loss of damage by fire whilst on Photek’s premises. Photek accepts no liability for any loss incurred by a Buyer whose material should be found unsuitable for the processing specified.

9. COMMISSIONING ON SITE

Commissioning on site is not included in the Contract unless specifically stated.

10. PHOTEKS OWN MANUFACTURED GOODS

10.1. Where goods have been manufactured and supplied by Photek the Buyer should make a reasonable inspection of them immediately upon receipt. If faults are alleged the Buyer shall immediately advise Photek of these in writing within 14 days from the date of Photek’s invoice.
10.2. Whilst every effort will be made by Photek to maintain a high standard of workmanship, no additional warranty will be issued on any products listed overleaf, unless specifically agreed in writing at time of order. Our standard warranty is 12 months from date of delivery.

11. OTHER MANUFACTURER’S GOODS

Goods supplied but not manufactured by Photek are subject to the Conditions of Sale of the manufacturer concerned but the Buyer shall be entitled to such benefits as Photek may receive under any guarantee given to Photek in respect thereof but only for a period that such guarantee subsists in favour of Photek. In any case, all alleged defects must be reported to Photek immediately they become apparent.
